1. Acceptance of Terms

These Terms and Conditions (“Terms”) govern access to and use of Nubius Security Network (“Nubius”, the “Platform”), operated by DRS Abundance Pty Ltd (ABN 25 695 734 037) (“DRS Abundance”, “we”, “us”, “our”). By creating an account, submitting an enquiry, or otherwise using Nubius, you agree to be bound by these Terms. If you do not agree, you must not use the Platform. Our collection and handling of personal information is described in our Privacy Policy, available on the Platform, which should be read together with these Terms.

If you create an account or use the Platform on behalf of a business or other entity, you warrant that you are authorised to bind that entity to these Terms, and “you” includes that entity.

2. What Nubius Is

Nubius is an online introduction, discovery, and professional networking platform for the Australian security industry. Nubius connects verified Security Professionals with Businesses seeking security personnel, and separately allows Organisations to discover and directly contact Security Businesses through a public directory (“Browse Security Services”).

Nubius is not: a labour hire provider, recruitment agency, employer of Security Professionals, or a party to any contract for the supply of security services. Nubius does not place, supply, or manage security personnel, does not process payment for security work or services performed, and does not manage, mediate, or guarantee any contract, quote, or service arrangement between an Organisation and a Business discovered via the Platform.

Any working arrangement, engagement, service contract, or employment relationship formed between users of the Platform (including between a Security Professional and a Business, or between an Organisation and a Business) is entered into directly and solely between those parties. Nubius is not a party to, and has no responsibility or liability for, any such arrangement, including its formation, terms, performance, payment, quality, or any dispute arising from it.

3. Eligibility and Accounts

  • You must be at least 18 years old to create an account.
  • You must provide accurate, current, and complete information at signup and in any verification submission, keep that information up to date, and promptly notify us of any change — including the suspension, cancellation, or expiry of a security licence you have submitted for verification.
  • You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
  • Nubius reserves the right to suspend, deactivate, or terminate accounts that provide false information, misuse the Platform, or breach these Terms.
  • A user may deactivate their own account at any time via account settings, subject to these Terms and the retention periods in the Privacy Policy.

4. Verification

Security Professionals must submit identity and security licence information for admin review before their profile becomes visible to Businesses. Businesses must submit business/ABN information for review before certain features become available, including the option to appear in the public Browse Security Services directory.

Nubius’s verification currently involves manual review by an authorised administrator of the identity, licence, or business/ABN information you submit. We do not currently cross-check this information against government registers, whether by automated or manual means, though we may introduce this in the future. Verification by Nubius is not a guarantee of a person’s or business’s conduct, character, competence, workmanship, or suitability, and does not constitute a police check, working-with-children check, formal background check, or quality assurance of any kind. Users are solely responsible for their own due diligence before entering into any arrangement with another user or a Business discovered via the Platform.

Additional professional credentials a Security Professional chooses to add to their profile (e.g. First Aid, RSA) may be self-declared, or self-declared with supporting evidence uploaded by that professional. Nubius does not independently verify self-declared credentials or the authenticity of supporting evidence unless expressly stated, and a Business relying on such information does so at its own discretion and risk. Nubius may decline, revoke, or require renewal of a verification at any time, including where a licence has expired or been suspended or cancelled, or where information provided appears inaccurate, and may hide a profile or listing until re-verification is completed.

5. Membership and Fees

Security Professionals: Membership is free of charge. There is no payment step, trial period, or subscription associated with a Security Professional account. Nubius reserves the right to introduce fees for Security Professional accounts in the future, with reasonable prior notice to existing members.

Businesses: Business membership requires a paid subscription, currently $29.99 AUD per month (inclusive of GST). No payment method is collected, and no trial begins, at initial sign-up: once a Business’s verification is approved and it adds a payment method, a 30-day free trial begins as displayed at that time. Unless cancelled before the trial ends, membership then automatically converts to a paid subscription billed via Stripe using the saved payment method. If a payment fails, Stripe will automatically retry the payment method according to its standard retry schedule. Your Business features remain available during this period. If all retries fail and Stripe ultimately ends the subscription, your Business features will then be suspended until a valid payment method is added and membership is reactivated. Subscriptions renew automatically until cancelled; a Business may cancel at any time via account settings, with access continuing until the end of the then-current paid period. Except as required by law (including the Australian Consumer Law), membership fees are non-refundable. Nubius may change membership pricing from time to time, with reasonable notice to existing members; any such change applies to new billing periods and does not retrospectively alter fees already paid.

6. Public Directory (Browse Security Services)

A Business may elect to have its profile appear in Nubius’s public Browse Security Services directory, visible to any visitor including non-members, and may provide public contact details (a public phone number and/or email address, distinct from the private details submitted for verification) for that purpose.

Organisations and members of the public may browse this directory and contact a listed Business directly, including via a contact/enquiry form, without creating a Nubius account. Nubius does not manage, mediate, guarantee, or take any part in the resulting communication, quote, contract, or service arrangement between an Organisation and a Business. A Business is solely responsible for the accuracy of its public listing and for responding to, and honouring, any arrangement it enters into as a result of being discovered via the directory.

Nubius does not vet, endorse, or guarantee the quality, licensing currency, pricing, or suitability of any Business appearing in the directory beyond the verification described in Section 4. Organisations contacting a Business through the directory do so entirely at their own discretion, and Nubius accepts no liability for the outcome of any such contact or arrangement.

A Business may withdraw from public listing at any time via its account settings. Nubius may decline or remove a public listing where it reasonably considers the listing inaccurate, misleading, or in breach of these Terms.

7. Acceptable Use

You agree not to:

  • provide false, misleading, or fraudulent information, including as to identity, licensing, business registration, or credentials;
  • use the Platform for any unlawful purpose or in a way that infringes the rights of others;
  • harass, threaten, or abuse other users, including via messaging or the Contact/enquiry features;
  • attempt to circumvent, disable, or interfere with the security or proper functioning of the Platform;
  • use automated means to access or extract data from the Platform without prior written consent;
  • impersonate any person or entity, or misrepresent your affiliation with any person, business, or organisation;
  • submit an enquiry, quote request, or contact-form message for any purpose other than a genuine security-related enquiry;
  • reverse engineer, copy, frame, resell, or otherwise commercially exploit the Platform or any part of it without our prior written consent;
  • collect, harvest, or use other users’ personal information except as necessary to engage with them through the Platform for its intended purpose; or
  • post any opportunity or other content that is unlawful, misleading, deceptive, or discriminatory.

8. Messaging

Nubius provides a messaging feature to facilitate communication between authenticated users. As set out in the Privacy Policy, Nubius does not currently provide an in-Platform mechanism for reporting a message. Authorised administrators have the technical ability to access message content stored in our database and may do so where misuse or a safety risk is suspected or where the law requires it; administrator access to message content is not currently separately logged. We intend to introduce an in-Platform reporting mechanism and administrator-access logging for messages in a future update, and will update this Policy and these Terms accordingly. Do not use the messaging feature to share information you would not want reviewed for these purposes.

9. Content and Conduct

You are solely responsible for the accuracy and legality of content you submit, including profile information, opportunity postings, public directory listings, messages, and enquiry submissions. Nubius does not guarantee, and is not responsible for, the accuracy of any content submitted by users. Nubius may, at its discretion, remove content or suspend accounts that breach these Terms.

You warrant that content you submit does not infringe any third party’s rights (including intellectual property rights) and is not misleading or deceptive. A Business is solely responsible for ensuring that any opportunity it posts, and any engagement that follows, complies with applicable law, including licensing, workplace, and work health and safety laws.

10. Intellectual Property and Licence

All intellectual property in the Platform, including its design, branding, and software, is owned by DRS Abundance Pty Ltd or its licensors. You retain ownership of content you submit, but grant Nubius a licence to use, store, and display that content as necessary to operate the Platform, including displaying a Business’s public directory listing to visitors.

We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for its intended purpose, subject to these Terms. If you provide feedback or suggestions about the Platform, we may use them without restriction or obligation to you.

11. Disclaimers

Nubius is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we make no warranties, express or implied, regarding the Platform’s availability, reliability, accuracy of user-submitted content, or fitness for a particular purpose. We do not guarantee that the Platform will be continuously available, error-free, or secure, and we may modify, suspend, or discontinue any feature at any time; if we permanently discontinue the Platform, we will give reasonable notice and refund the unused portion of any prepaid Business membership fees. The Platform relies on third-party services (including Stripe for payments) and may contain links to third-party sites, which are governed by their own terms; we are not responsible for them.

No endorsement: Nubius verification, directory inclusion, or any badge or status displayed on the Platform does not constitute an endorsement, guarantee, or warranty by Nubius, DRS Abundance, any government body, or any other party, of any Security Professional’s or Business’s conduct, competence, workmanship, or suitability.

12. Limitation of Liability and Indemnity

To the maximum extent permitted by law, DRS Abundance Pty Ltd excludes all liability for any indirect, incidental, special, or consequential loss arising from your use of the Platform, or from any arrangement, engagement, service contract, dispute, or transaction between users, or between an Organisation and a Business, whether or not that arrangement originated via the Platform.

Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy that cannot lawfully be excluded under the Australian Consumer Law. Our services come with guarantees that cannot be excluded under the Australian Consumer Law. Where our liability for failure to comply with a consumer guarantee cannot be excluded but may be limited, it is limited, at our option, to resupplying the relevant services or paying the cost of having them resupplied.

To the maximum extent permitted by law, our total aggregate liability to you in connection with the Platform is otherwise limited to the greater of the total membership fees you paid to us in the 12 months before the event giving rise to the claim and $100.

To the maximum extent permitted by law, you agree to indemnify and hold harmless DRS Abundance Pty Ltd, its officers, employees, and agents from and against any claim, loss, damage, cost, or liability to the extent arising from your breach of these Terms, your misuse of the Platform, or your conduct in connection with any arrangement formed with another user or discovered via the Platform. Your liability under this indemnity is reduced to the extent that our negligence or breach of these Terms contributed to the relevant loss.

13. Termination

You may close or deactivate your account at any time. Nubius may suspend or terminate your account, with or without notice, if we reasonably believe you have breached these Terms, provided false information, or engaged in conduct harmful to the Platform, other users, or the public. We may suspend an account while we investigate a suspected breach.

If we terminate a paid Business membership other than for breach of these Terms, we will refund the unused portion of any fees paid for the then-current billing period.

On closure or termination, personal information is handled as described in the Privacy Policy, accrued rights and obligations are unaffected, and provisions which by their nature survive — including the sections headed “Intellectual Property and Licence”, “Limitation of Liability and Indemnity”, “Governing Law”, and “General” — continue to apply.

14. Changes to These Terms

We may update these Terms from time to time. We will notify account holders of material changes by email at least 14 days before they take effect, and will also post a notice on the Platform. If you do not agree to a change, you may close your account before it takes effect; continued use after that date constitutes acceptance of the updated Terms.

15. Governing Law

These Terms are governed by the laws of Victoria, Australia, and the parties submit to the non-exclusive jurisdiction of the courts of that state.

16. Dispute Resolution

If a dispute arises between you and DRS Abundance in connection with these Terms or the Platform, a party must give the other written notice of the dispute, and both parties must attempt in good faith to resolve it within 30 days, before commencing court proceedings (other than proceedings seeking urgent injunctive relief). Nothing in this section prevents a complaint to a regulator or limits any right under the Australian Consumer Law.

17. General

  • These Terms, together with the Privacy Policy and any plan details displayed at signup, are the entire agreement between you and DRS Abundance regarding the Platform.
  • If any provision is found invalid or unenforceable, it is severed to the extent required and the remainder continues in force. A failure to enforce a provision is not a waiver of it.
  • You may not assign your rights under these Terms without our written consent; we may assign our rights in connection with a merger, acquisition, or sale of assets, subject to equivalent protections.
  • Neither party is liable for delay or failure to perform (other than an obligation to pay) caused by events beyond its reasonable control.
  • We may give you notices by email to your registered email address or via the Platform.
